1. Agreement to Terms

By accessing or using TAIM54 ("Platform", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These terms apply to all buyers, suppliers, and visitors.

2. Platform Description

TAIM54 is a B2B marketplace and AI-powered procurement platform facilitating trade between businesses across Africa. We provide tools for product listings, RFQ/RFP management, procurement workflow automation, order management, and payment processing. We are a marketplace facilitator — individual transactions are between buyers and suppliers.

3. Account Registration

You must provide accurate, complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old and have the legal authority to bind the business entity you register.

4. Supplier Obligations

Suppliers warrant that all product listings are accurate, that they have legal authority to sell the described goods or services, and that they will fulfil orders placed through the Platform. Suppliers must maintain requested certifications and documentation. Misrepresentation is grounds for immediate account termination.

5. Buyer Obligations

Buyers agree to honour purchase orders once accepted by a supplier, to make timely payments, and to provide accurate delivery information. RFQs and RFPs must be submitted in good faith.

6. Payment Terms

All payments are processed through our escrow system. Buyer funds are held securely until delivery confirmation. Platform fees are deducted at the time of order placement. Detailed fee schedules are available on request during our launch period.

7. AI-Generated Content

TAIM54 uses AI to generate RFQ documents, evaluate proposals, and assist with procurement workflows. AI-generated content is provided as-is to assist decision-making. You are responsible for reviewing and approving all AI-generated documents before transmission to counterparties.

8. Prohibited Uses

You may not use the Platform for: fraudulent transactions; listing counterfeit or prohibited goods; money laundering; circumventing Platform fees; or any activity that violates applicable law. Violations result in immediate account suspension and may be reported to relevant authorities.

9. Dispute Resolution

Disputes between buyers and suppliers are handled through our resolution process. We act as neutral facilitator. Decisions are based on transaction records, communications, and delivery evidence. Unresolved disputes may be escalated to arbitration under applicable African Union trade dispute mechanisms.

10. Limitation of Liability

TAIM54 is not liable for losses arising from transactions between buyers and suppliers, for AI-generated content, or for service interruptions. Our total liability is limited to fees paid by you to the Platform in the three months preceding any claim.

11. Changes to Terms

We reserve the right to modify these Terms. We will provide 14 days' notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance.
